Terms and Conditions

Definition:
 
The ‘organiser’ shall be deemed to be UK Wedding Events Ltd and its employees. The ‘Exhibitor’ will include any employees including all agents.

Application:

All Quotations are made and Bookings accepted subject to the following terms and conditions and no addition to, or variation of, such terms and conditions shall be binding unless agreed by UK Wedding Events Ltd in writing.

Any Bookings made with the UK Wedding Events Ltd shall constitute unqualified acceptance of such terms and conditions. These terms and conditions shall apply to all Quotations and Bookings.
 
In the event of conflict between these terms and conditions and any other terms and conditions (of the Client or otherwise), the former shall prevail unless expressly otherwise agreed by UK Wedding Events Ltd in writing.

Basis of the Supply of Event Management Services

UK Wedding Events Ltd shall throughout the continuance of this Agreement provide an Event Management Service to the Client.

UK Wedding Events Ltd will use reasonable care and skill in fullfilling its obligations to the Client.

Price
 
All prices stated by UK Wedding Events Ltd in a Quotation, unless specifically stated otherwise, are exclusive of VAT which, where applicable, will be separately charged at the appropriate rate.

Payment

The Client shall pay to UK Wedding Events Ltd a deposit of 50% per booking (or such other amount as UK Wedding Events Ltd may prescribe for a specific client or event) of the total price payable at the time of making a booking (less any preliminary payment already paid in respect of that matter, if appropriate).

The booking will only be considered as accepted by UK Wedding Events Ltd once the deposit has been paid. The balance of the total price payable shall be paid to UK Wedding Events Ltd not later than 30 days prior to the first day of the Event.

All Bookings made within 30 days of the first day of the Event must be paid in full at the time of the Confirmation.

The Client shall pay to UK Wedding Events Ltd (including invoices for “additional” items) any amounts due and owing within 30 days of the date of UK Wedding Events Ltd’s invoice.

The time for such payment shall be of the essence of these terms and conditions.  If the Client fails to make any payment on the due date in respect of the price or any other sum due under these terms and conditions then UK Wedding Events Ltd shall, without prejudice to any right which UK Wedding Events Ltd may have pursuant to any statutory provision in force from time to time, have the right to sell the booked space to another client.

UK Wedding Events have the right to pursue all monies owed if the client fails to settle within the time frame specified, or if the client withdraws / cancels their booking irrespective of having re sold the original clients space or stand.

UK Wedding Events Ltd have the right to charge interest on all monies outstanding from the due date. This will be calculated at base rate plus 0.5% on a daily basis of the original outstanding invoice(s).

Variation & Amendments

If the Client wishes to vary any details of the booking, it must notify UK Wedding Events Ltd in writing as soon as possible.
UK Wedding Events Ltd shall endevour to make any required changes and any additional costs thereby incurred shall be
invoiced to the Client.

If, due to circumstances beyond UK Wedding Events Ltd’s control, it has to make any change in the arrangements relating to the booking it shall notify the Client forthwith.  UK Wedding Events Ltd shall endeavour to keep such changes to a minimum and shall seek to offer the Client arrangements as close to the original as is reasonably possible in the circumstances.
 
UK Wedding Events Ltd reserves the right to do the following:
 
a) Amend any accidental error or omission in a Quotation;

b) Amend any Quotation in order to reflect a change in the circumstances beyond the reasonable control of UK Wedding Events Ltd;

c) Vary its schedule of charges from time to time.

Cancellations
 
If the Client wishes to cancel the booking they may do so at any time by written notice to UK Wedding Events Ltd.

The client will receive a refund as follows where the client has paid the invoice in full at time of the original booking:
 
a) The full amount if paid, less the non refundable deposit, if canceled 3 months before the event.

b) 50% if already paid less the non refundable deposit, if canceled 2 months before the event.

c) No refund will be offered if canceled 1 calandar month before the event.

Where the client cancels their stand within 1 calandar month or 31 days prior to the event, and no money has been paid in respect to a deposit or full payment, UK Wedding Events holds the right to pursue by what ever means necessary to recover these monies, even if the stand or space is later sold to a non related 3rd party.

UK Wedding Events Ltd may cancel forthwith any booking at any time if:

a) The Client is in breach of any of its obligations hereunder.

b) The Client ceases or threatens to cease to carry on business.
 
c) Any circumstances whatsoever beyond the reasonable control of UK Wedding Events Ltd (including but not limited to the cancellation, through no fault of UK Wedding Events Ltd, of the venue for the Event) necessitate the cancellation for whatever reason of the Event.

Liability

Where an Event is canceled or terminated, UK Wedding Events Ltd shall not be liable to the Client or be deemed to be in breach of these terms and conditions by reason of any delay in performing, or any failure to perform, any of UK Wedding Events Ltd’s obligations if the delay or failure was due to any cause beyond UK Wedding Events Ltd’s reasonable control.  UK Wedding Events Ltd will not be liable for eventualities caused by the exhibitor which may cause injury, disfigurement or damage to any visitor. UK Wedding Events Ltd will not be liable for any damaged to the venue or the property of the venue caused by the exhibitor.

EXHIBITORS LIABILITY FOR LOSS OR DAMAGE AND INDEMNITY
 
It is the exhibitors sole responsibility to ensure that they have appropriate insurance to cover fittings and fixtures as well as any other items brought into UK Wedding Events Ltd’s events. UK wedding Events Ltd shall not be responsible for any loss or damage to fittings or items however caused. Each Exhibitor will accept liability for all actions and consequences and will undertake to indemnify UK Wedding Events and keep them indemnified against all liability in respect of all actions, suits, proceedings, claims, demands, costs and expenses.

Insurance
 
It is the responsibility of exhibitors to provide their own Public Liability insurance. UK Wedding Events Ltd will not be liable.

Electricity
 
UK Wedding Events Ltd do not provide electricity or cables unless requested on the booking form. It is the Clients responsibility to ensure that any electrical equipment has the appropriate PAT Certification.

Set up/Duration/Dismantling of Exhibition Stand/Space

Access to venue to erect stand or dress space will be notified 7 days before the event with all stands being operational 15 minutes before the start of the event. Stands must not be dismantled part way through the event for Health and Safety reasons and must remain until exhibition closing time.
 
Force Majeure
 
Neither UK Wedding Events Ltd nor the Client shall be liable to the other or be deemed to be in breach of the Contract by reason of any delay in performing, or any failure to perform, any of its obligations in relation to the Services, if the delay or failure was due to any cause beyond that party’s reasonable control.  Without prejudice to the generality of the foregoing, the following shall be regarded as causes beyond either party’s reasonable control.

Act of God, explosion, flood, tempest, fire or accident; war or threat of war, sabotage, insurrection, civil disturbance or requisition, strikes, lock-outs, or other industrial actions or trade disputes (whether involving employees of either UK Wedding Events Ltd or the Client or of a third party).
 
Waiver

No waiver by UK Wedding Events Ltd of any breach of these terms and conditions by the Client shall be considered as a waiver of any subsequent breach of the same or any other provision. A waiver of any term, provision or condition of this agreement shall be effective only if given in writing and signed by the waiving party and then only in the instance and for the purpose for which it is given.
 
No failure or delay on the part of any party in exercising any right, power or privilege under this agreement shall operate as a waiver of it, nor shall any single or partial exercise of any such right, power or privilege preclude any other or further exercise of it or the exercise of any other right, power or privilege.
 
Severance

If any provision of these terms and conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these terms and conditions and the remainder of the provision in question shall not be affected thereby.
 
Copyright

UK Wedding Events Ltd reserves all copyright and any other rights (if any) which may subsist in the products of, or in connection with, the provision of UK Wedding Events Ltd’s services or facilities.  UK Wedding Events Ltd reserves the right to take such actions as may be appropriate to restrain or prevent infringement of such copyright.
 
Amendment of Rules

UK Wedding Events Ltd reserve the right to alter, add to or amend any of these Terms And Conditions.
